Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and LumaSoft, LLC, doing business as SparkWallet ("SparkWallet," "we," "us," or "our"). These Terms govern your access to and use of the SparkWallet website at sparkwallet.io, and all related services, applications, features, content, and tools (collectively, the "Services"). Please read these Terms carefully before using the Services. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services.
1. General Terms
a) Modification of Terms. SparkWallet reserves the right to modify, amend, or update these Terms at any time in its sole discretion. When we make material changes, we will update the "Last updated" date at the top of this page and, where required by law, provide additional notice. Your continued use of the Services after any such changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue your use of the Services immediately.
b) Entire Agreement. These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and SparkWallet regarding the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written.
c) No Expiry of Benefits. No expiry date applies to any benefits of the normal operation of this facility, unless otherwise stated in a specific program or promotion.
2. Eligibility, Registration, and Account
a) Age Requirement. The Services are intended solely for users who are 18 years of age or older. By using the Services, you represent and warrant that you are at least 18 years of age. If you are under 18, you are not permitted to register for or use the Services.
b) Account Registration. To use certain features of the Services, you must create a SparkWallet account. You may register for only one account. You agree to: (i) provide accurate, current, and complete information during registration; (ii) maintain and promptly update your account information; (iii) maintain the confidentiality and security of your account credentials, including your password and any multi-factor authentication methods; (iv) accept sole responsibility for all activities that occur under your account; and (v) promptly notify SparkWallet at support@sparkwallet.io if you discover or suspect any unauthorized access to or use of your account.
c) Identity Verification. We may require you to complete identity verification at any time, including by providing government-issued identification and other documentation, in order to comply with applicable laws and regulations, including KYC/AML requirements. Failure to complete verification may result in restricted or suspended access to the Services.
d) Account Security. You are solely responsible for safeguarding your account credentials. SparkWallet will not be liable for any loss or damage arising from your failure to protect your account information. We strongly recommend enabling multi-factor authentication on your account.
3. Authorization
You authorize your wireless carrier to use or disclose information about your account and your wireless device, if available, to SparkWallet or its service providers for the duration of your business relationship, solely to help identify you or your wireless device and to prevent fraud. 4. Access to the Services
SparkWallet retains the right, in its sole discretion, to deny access to or use of the Services to anyone at any time and for any reason, with or without notice. Although we use reasonable efforts to keep the Services accessible, the Services may be unavailable from time to time due to routine maintenance, upgrades, system failures, force majeure events, or other circumstances beyond our control. You agree that SparkWallet will not be liable to you or any third party for any modification, suspension, interruption, or discontinuance of the Services or any part thereof.
5. Maintaining Your Active Account
An "Active Account" requires that you have completed at least one purchase on a SparkWallet property within the preceding twelve (12) calendar months. If your account is inactive for more than twelve (12) consecutive months, SparkWallet may, at its sole discretion, close your account permanently and cease to maintain your account records and access to the Services. You will receive notice prior to any such closure at the email address associated with your account. Any remaining balance or rewards in an inactive account may be forfeited in accordance with applicable law.
6. Payments
a) Final Payments. All payments made through the Services are final. If a mistaken or unauthorized transaction occurs, you must contact the payee directly to attempt to recover the funds. SparkWallet accepts no liability for mistaken, erroneous, or unauthorized payments.
b) Payment Processing. Payments and subscriptions may be processed through third-party payment processors and subscription platforms. Your use of such services is subject to the terms and conditions of those third parties in addition to these Terms.
c) Taxes. You are solely responsible for determining and paying any taxes that may apply to transactions you make through the Services. SparkWallet is not responsible for collecting, reporting, or remitting any taxes arising from your transactions.
7. Refunds
a) Refund Eligibility. Refunds, if any, may be issued at SparkWallet's sole discretion and are not guaranteed. Refunds may be made to: (i) the owner of the email address originally supplied with the payment; or (ii) the owner of the sending cryptocurrency address, provided that proof of ownership is verified (e.g., by providing a cryptographically signed message from the cryptocurrency address).
b) Gift Cards. Except where required by applicable law, gift cards are non-refundable and cannot be exchanged for cash or applied to any prior purchase.
8. Customer Credit and Cryptocurrency
a) Balance Limit. Your SparkWallet balance is restricted to a maximum total of 5 BTC (or equivalent). Bitcoin and Lightning balances are included in this total. If you exceed this limit, you must contact support@sparkwallet.io to arrange a refund of the excess amount.
b) Transaction Limit. There is a 5 BTC limit on any single transaction. Transactions exceeding this limit will not be processed and you must contact support@sparkwallet.io.
c) Transaction History. You can view your complete transaction history within the Services at any time.
d) Cryptocurrency Risks. You acknowledge and accept that cryptocurrency transactions are irreversible, that cryptocurrency values are highly volatile and may fluctuate significantly, and that SparkWallet is not responsible for any losses resulting from price fluctuations, network congestion, failed transactions, or blockchain-related issues. You assume full responsibility for the risks associated with using cryptocurrency features of the Services.
e) Not a Financial Institution. SparkWallet is not a bank, financial institution, money services business, or licensed money transmitter unless otherwise disclosed. SparkWallet does not provide financial, investment, tax, or legal advice. Balances held in your SparkWallet account are not deposits, are not insured by the FDIC or any other governmental agency, and are not guaranteed by SparkWallet.
9. Fees and Charges
a) BTC Top-Up Fee. A fee of 0.3% applies to BTC top-ups.
b) Receiving Lightning Payments. There is no fee to receive Lightning payments.
c) Sending Lightning Payments. A variable routing fee may be applied when sending Lightning payments. This fee is passed on to Lightning network nodes routing the payment and is not retained by SparkWallet.
d) Sending BTC On-Chain Payments. A fixed fee applies to BTC on-chain payments. This fee varies depending on the current state of the Bitcoin mempool and will be quoted to you before you confirm the payment. The minimum on-chain send amount is 0.00003 BTC plus the applicable fee.
e) Fee Changes. All fees and charges are subject to change at any time. If fees change, updated fee information will be made available in the Services or through other reasonable means of disclosure prior to the change taking effect.
10. Acceptable Use
As a condition of your use of the Services, you agree that you will not:
- Use the Services for any illegal, fraudulent, or unauthorized purpose, including money laundering, terrorist financing, sanctions evasion, or any activity that violates applicable law;
- Violate or attempt to violate the security of the Services, including by accessing data not intended for you, logging into an account you are not authorized to access, or probing, scanning, or testing the vulnerability of any system or network;
- Use any robot, spider, scraper, crawler, data mining tool, or automated device to access, collect, or extract data from the Services;
- Interfere with or disrupt the Services, servers, or networks connected to the Services, including through denial-of-service attacks, flooding, or deliberate overloading;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services or any part thereof;
- Create multiple accounts, impersonate another person, or provide false or misleading information;
- Use the Services to transmit any material that contains viruses, trojan horses, worms, malware, or any other harmful or deleterious programs;
- Circumvent, disable, or otherwise interfere with any security features or access controls of the Services;
- Use the Services in any manner that could damage, overburden, impair, or compromise the Services or interfere with any other party's use of the Services; or
- Assist, encourage, or enable any third party to do any of the foregoing.
We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including suspending or terminating the offender's account, reporting them to law enforcement, and pursuing civil remedies.
11. Intellectual Property
a) Our Property. The Services, including all content, features, functionality, software, text, graphics, logos, trademarks, service marks, and the overall look and feel ("SparkWallet Content"), are owned by or licensed to SparkWallet and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any SparkWallet Content without our prior written consent, except as incidental to your normal use of the Services.
b) Limited License. Subject to your compliance with these Terms, SparkWallet grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial purposes. This license does not include the right to: (i) modify or copy the materials; (ii) use the materials for any commercial purpose; (iii) attempt to reverse engineer any software in the Services; (iv) remove any copyright or proprietary notations; or (v) transfer the materials to another person or "mirror" the materials on any other server.
12. User Content
To the extent you submit, post, or transmit any content through the Services ("User Content"), you retain ownership of your User Content. However, by submitting User Content, you grant SparkWallet a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating and improving the Services. You represent and warrant that you own or have the necessary rights to submit User Content and that such content does not violate the rights of any third party.
13. SparkWallet Rewards ("Sparks Back")
The "Sparks Back" Rewards program rewards customers for their loyalty to SparkWallet. The amount of rewards may vary by product and SparkWallet retains the sole right to establish, increase, decrease, or eliminate the reward for any product, as well as to suspend or terminate the program at any time, for any individual customer or all customers, with or without notice. Rewards earned cannot be withdrawn, transferred, or assigned, and may be used exclusively to purchase products through SparkWallet. Rewards have no cash value and are not redeemable for cash. SparkWallet reserves the right to forfeit rewards earned through fraudulent, abusive, or otherwise improper activity.
14. Third-Party Services
The Services may contain links to or integrations with third-party websites, applications, or services ("Third-Party Services"), including but not limited to payment processors, subscription platforms, scheduling tools, and advertising networks. SparkWallet does not control and is not responsible for Third-Party Services, their content, privacy policies, or practices. Your interactions with Third-Party Services are solely between you and the applicable third party. You agree that SparkWallet shall not be liable for any damage or loss caused by or in connection with your use of or reliance on any Third-Party Services.
15. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPARKWALLET DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SPARKWALLET DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, THAT DEFECTS WILL BE CORRECTED, OR THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE. YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM SPARKWALLET OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPARKWALLET, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, LOSS OF DIGITAL ASSETS OR CRYPTOCURRENCY, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, THE CONTENT THEREIN, GIFT CARDS, GIFT PROMOTIONS, VIRTUAL CARDS, REWARDS, USER CONTENT, SPARKWALLET CONTENT, THIRD-PARTY SERVICES, OR THIRD-PARTY MATERIALS, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE, OR IMPUTED), PRODUCT LIABILITY, STRICT LIABILITY, OR ANY OTHER THEORY) AND EVEN IF SPARKWALLET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SPARKWALLET'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) FIFTY DOLLARS ($50.00); OR (B) THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO SPARKWALLET IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
17. Indemnification
You agree to indemnify, defend, and hold harmless SparkWallet, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of the rights of any third party; (e) any User Content you submit; or (f) your negligence or willful misconduct. SparkWallet reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.
18. Dispute Resolution and Arbitration
a) Binding Arbitration. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services, including the formation, interpretation, breach, or termination thereof, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be in the State of Florida, United States. The language of the arbitration shall be English. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
b) Class Action Waiver. YOU AND SPARKWALLET AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF MORE THAN ONE PERSON AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE, THEN THE ENTIRETY OF THIS ARBITRATION PROVISION SHALL BE NULL AND VOID.
c) Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or other proprietary rights. Additionally, claims within the jurisdiction of a small claims court may be brought in such court.
d) Opt-Out. You may opt out of this arbitration agreement by sending written notice to support@sparkwallet.io within thirty (30) days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of this arbitration agreement.
19. Governing Law and Jurisdiction
These Terms and any dispute arising out of or related to the Services shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws principles. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction of the state and federal courts located in the State of Florida for the resolution of any disputes.
20. Termination
a) By You. You may terminate your account at any time by contacting us at support@sparkwallet.io. Termination of your account does not relieve you of any obligations incurred prior to termination.
b) By SparkWallet. SparkWallet may suspend or terminate your account and access to the Services at any time, with or without cause, with or without notice, and without liability to you. Grounds for termination include, but are not limited to, violation of these Terms, suspected fraudulent or illegal activity, extended inactivity, or a request by law enforcement or other governmental authority.
c) Effect of Termination. Upon termination, your right to use the Services will immediately cease. Sections 6(a), 8(d), 8(e), 11, 12, 15, 16, 17, 18, 19, and 23 shall survive any termination or expiration of these Terms.
21. Electronic Communications
By using the Services, you consent to receive electronic communications from SparkWallet, including emails, text messages, push notifications, and notices posted on the Services. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.
22. Force Majeure
SparkWallet shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, riots, embargoes, pandemics, epidemics, government actions, labor disputes, power failures, internet or telecommunications failures, cyberattacks, blockchain network disruptions, or equipment failures.
23. General Provisions
a) Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
b) Waiver. No waiver by SparkWallet of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by SparkWallet to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
c) Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without SparkWallet's prior written consent. SparkWallet may freely assign or transfer these Terms without restriction. Any attempted assignment in violation of this section shall be null and void.
d) Headings. The section headings in these Terms are for convenience only and have no legal or contractual effect.
e) Relationship of the Parties. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and SparkWallet. Neither party has authority to bind the other or to incur any obligation on behalf of the other.
